The complaint alleges that during the Class Period defendants made false and misleading statements and/or allegedly failed to disclose that TIO’s data security program was inadequate to safeguard the personally identifiable information of its users; the foregoing vulnerabilities threatened continued operation of TIO’s platform; PayPal’s revenues derived from its TIO services were thus unsustainable; consequently, PayPal had overstated the benefits of the TIO Acquisition; and as a result, PayPal’s public statements were materially false and misleading at all relevant times.
On December 1, 2017, PayPal revealed that due to security vulnerabilities in its TIO Networks ("TIO") unit, personally identifiable information of approximately 1.6 million TIO users may have been potentially compromised. The Company announced that it has suspended operations of its TIO network while it conducts its investigation.
Following this news, NASDAQ: PYPL fell from $75.30 per share on December 1, 2017 to a closing price of $70.97 on December 4, 2017—a $4.33 or a 5.75% drop.
