The complaint alleges that during the Class Period defendants made false and misleading statements and/or allegedly failed to disclose that defendant Nandu Thondavadi ("Thondavadi"), former CEO of Quadrant and defendant Dhru Desai ("Desai"), former CFO of Quadrant, engaged in an accounting fraud scheme that misled investors; defendants Thondavadi and Desai stole more than $4 million from Quadrant; defendants Thondavadi and Desai caused Quadrant to understate its liabilities and inflate its revenues and assets and evaded scrutiny by lying to Quadrant's auditors and providing them with forged and doctored documents; and as a result, defendants' public statements were materially false and misleading at all relevant times.

On November 30, 2016, the Department of Justice revealed that it had charged Nandu Thondavadi, with misrepresenting the Company's cash flows and concealing its liabilities in Securities and Exchange Commission filings.

On this news, OTCMKTS: QFOR dropped $0.16 per share or over 80%'s to close at $0.03 per share on December 1, 2016.
