The complaint alleges that during the Class Period defendants made false and misleading statements and/or allegedly failed to disclose material information regarding Vital Therapies Inc ELAD System studies, VTI-208, VTI-210, and VTI-212, including: (1) the studies’ independent significance; (2) the degree to which the studies were interrelated; and (3) that in the case of the failure of the VTI-208 trial, Vital Therapies Inc would not continue the VTI-210 trial.

On August 21, 2015, after the market closed, Vital Therapies delivered a press release revealing that the VTI-208 trial "failed to meet the primary endpoint of overall survival through at least 91 days". The Company also revealed that it would stop the VTI-210 and VTI-212 clinical trials.

On this news, Vital Therapies Inc shares fell over 79%, closing at $3.65 per share on August 24, 2015.
