The complaint alleges that during the Class Period defendants made false and misleading statements and/or allegedly failed to disclose that Banco Bradesco was engaged in a bribery scheme in collusion with the Brazilian Finance Ministry’s CARF; Banco Bradesco executives were plotting to avoid an $828 million tax fine that was imposed by Brazil’s Internal Revenue Service; Banco Bradesco’s CEO and other executives, directors and employees of the Company had engaged in bribery, money laundering, and corruption; Banco Bradesco’s internal control over financial reporting and its disclosure controls and procedures were not effective; and  as a result, the Company's public statements were materially false and misleading at all relevant times.

On May 31, 2016, numerous news outlets stated that Brazil's federal police indicted Banco Bradesco executives, including Chief Executive Officer Luiz Carlos Trabuco Cappi, on corruption-related charges.

Following this news, NYSE:BBD stock dropped $0.37 per share, or nearly 5.6%, to close at $6.26 on May 31, 2016.
